Terms of Service

1. Agreement

By using Clawshift ("Service"), you agree to these Terms of Service ("Terms"). Clawshift is operated by Dennis Rolea, Geffelbachstr. 1, 79576 Weil am Rhein, Germany ("we", "us"). If you do not agree, do not use the Service.

2. Description of Service

Clawshift provides a hosted AI business assistant platform. We provision and manage an AI agent on your behalf that can connect to your email, calendar, CRM, and other business tools. The Service is provided "as is" and continuously improved.

3. Account registration

• You must be at least 16 years old to use the Service
• You must provide accurate and complete registration information
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorized access to your account
• One person or entity per account unless on a Business plan

4. Subscriptions and payment

• Clawshift is offered as a monthly subscription
• Payments are processed by Stripe and billed monthly in advance
• Prices are listed in Euros (€) and include applicable taxes where required
• You may upgrade or downgrade your plan at any time. Changes take effect at the next billing cycle
• We reserve the right to change pricing with 30 days notice via email

5. Free trial

We may offer a free trial period. At the end of the trial, your subscription will begin and you will be charged unless you cancel before the trial ends. We will notify you before the trial expires.

6. Cancellation and refunds

• You may cancel your subscription at any time from your dashboard
• Cancellation takes effect at the end of the current billing period
• No refunds for partial months
• Upon cancellation, your AI agent will be stopped and your data retained for 30 days, then permanently deleted
• You may request immediate data deletion at any time by contacting us

7. Acceptable use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Send spam, phishing, or unsolicited messages
• Harass, abuse, or harm others
• Attempt to gain unauthorized access to other users' data or accounts
• Interfere with or disrupt the Service or its infrastructure
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Use the Service to build a competing product
• Exceed reasonable usage limits as determined by your plan

We reserve the right to suspend or terminate accounts that violate these terms.

8. Your data

• You retain all ownership of data you provide to the Service
• We do not claim any intellectual property rights over your content
• We process your data solely to provide the Service, as described in our Privacy Policy
• Your data is never used to train AI models
• You may export your data at any time from your dashboard
• Upon account deletion, all your data is permanently removed within 7 days

9. AI-generated content

Clawshift uses AI models to generate responses, draft emails, and perform tasks on your behalf. You acknowledge that:

• AI-generated content may contain errors or inaccuracies
• You are responsible for reviewing and approving any actions taken by your AI agent, especially outbound communications
• We are not liable for consequences of AI-generated content that you approve and send
• AI agents operate based on your instructions and configurations

10. Service availability

• We aim for 99.9% uptime but do not guarantee uninterrupted service
• Scheduled maintenance will be announced in advance when possible
• We are not liable for downtime caused by third-party services (AI providers, payment processors, etc.)

11. Limitation of liability

To the maximum extent permitted by law:

• The Service is provided "as is" without warranties of any kind
• We are not liable for any indirect, incidental, special, or consequential damages
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
• This does not affect your statutory rights under EU consumer protection law

12. Changes to these terms

We may update these Terms from time to time. We will notify you of material changes via email at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the Federal Republic of Germany. For consumers within the EU, mandatory consumer protection laws of your country of residence apply. The courts of Freiburg im Breisgau, Germany have jurisdiction, without prejudice to any mandatory legal venue for consumers.
